Ontario
Partnership Registration
Partnerships are
similar to sole proprietorships in that the owners of
the business personally own all the assets of the partnership
and are personally responsible for the liabilities of
the partnership. The basic difference between a partnership
and sole proprietorship is that a partnership has more
than one owner (referred to as a partner). The partners
can employ others to help in operating the business, but
they usually have a hand in the operation or management
of the business.
Ontario law recognizes two types of partnerships: General
Partnerships & Limited Partnerships. In a General
Partnership all partners both own the business and are
jointly and severally responsible for the liabilities
of the partnership up to the total value of their personal
assets. In a Limited Partnership all partners own the
assets of the business, but certain partners can limited
their liability to the value of their contribution to
the partnership. There are few formal legal requirements
to establish partnerships, and they are much cheaper to
create than corporations. An Ontario partnership must
have its registered business address located within the
Province of Ontario.

Sole Proprietorship
Sole proprietorships
are the most common and simple form of business structure.
Under this type of business structure, one person owns
the assets of the business and is also personally responsible
for its liabilities. The owner can employ others to help
in operating the business, but the owner usually manages
the business himself or herself. There are few formal
legal requirements to establish sole proprietorships,
and they are much cheaper to create than corporations.
An Ontario sole proprietorship must have its registered
business address located within the Province of Ontario.

Corporation
We provide you
with an Ontario Corporation incorporated information package
pursuant to the Ontario Business Corporations Act. An
Ontario Corporation has the right to carry on business
anywhere within the Province of Ontario under its registered
corporate name. In order for such a corporation to carry
on business in any other Canadian province or territory,
it must first register in that other jurisdiction as an
"Extra-Provincial" Corporation. If you are planning
to operate your company in a number of provinces, or across
Canada, a Federal (Canada) Incorporation may be a better
option.
We offer both Basic and Complete Ontario Incorporation
Packages and the actual incorporation is usually completed
within 24 hours of receipt of the order. The process is
completed by email and/or phone consultation and all documents
are couriered within 10-15 business days. Please note
that corporate legislation requires all corporations to
maintain accurate and up-to-date corporate records. Our

to satisfy these corporate record-keeping requirements.
Ontario
Non-Profit Incorporation
We provide you
with a not-for-profit corporation incorporated information
package under the Corporations Act (Ontario). A not-for-profit
corporation is similar to a for-profit or business corporation
as it is considered a legal person with an independent
existence separate and distinct from its members.
The main difference between a for-profit and not-for-profit
corporation is the ability to distribute profits. In a
not-for-profit corporation any profit must be retained
within the corporation and cannot be distributed to the
members.
Ontario not-for-profit Corporations have the right to
carry on business anywhere within the Province of Ontario
under its registered corporate name. If you are planning
to operate your corporation in a number of provinces,
or across Canada, a Federal Not-For-Profit Incorporation
may be a better option.

incorporators who do not require registration as a Canadian
charity and who will use standard pre-approved objects.
For
incorporators who require both a non-profit corporation
using pre-approved objects and charitable registration
with Revenue Canada.
